| 摘 要： | 处于转轨经济时期的中．国国有公司建立现代企业制度的核心，就是构建经济型公司治理模式．经济型公司治理模式就是指建立在完善的产权制度和发达的市场体系基础之上的运作机制，它必须具备以下要素：（1）以合理的产权结构和科学的内部治理结构为基础；（2）以充分竞争的市场环境为外部条件；（3）它的关键是改革国有资产营运体制，实行市场化委托代理制度。

| Abstract: | The paper argues that the SOE in China during the transitive period aims to establish modern enterprises institution,the core of which is to shape the corporate governance in line with the economic model.As we know the economic model is based on the institution of shareholders control.It entails the below factors:(1)on the premise of corporate institution.(2)based on the shareholders controls-oriented property rights.(3)developed market system.(4)the perfect agency right of shareholder. |
