This paper presents a case study of negotiations over the combination of a small manufacturing firm into a multi-billion dollar conglomerate following its 'white knight' acquisition. It focuses on the strategic and tactical conflicts between the two firms and traces these to the party's emotional reactions to the combination. Feeling of loss versus gain in the two firms, each party's sense of uncertainty and threat, and their moves toward proactive versus reactive control in the combination are analysed to identify the roots of strategic conflict. These feelings, plus incompatibilities in the two company's managements, business systems, corporate cultures, and goals for combination ramify in conflict in the negotiations themselves. The paper concludes with a more generic model illustrating contextual features of combinations that shape human reactions and conflicts in negotiations after the sale. 相似文献

Leaching of Al, Ca, Mg, Si, S, Ba, Sr, Mo, Zn, Cd, Pb, and Cu from waste incineration air-pollution-control (APC) residues was investigated. Real-life conditions, i.e. removal of readily soluble compounds and longer equilibration time, were considered. Three different pH-static leaching experiments evaluating the importance of salt level and equilibration time were performed: (i) 48-h test on untreated APC residue samples, (ii) 48-h test on washed residue samples, and finally (iii) a 172-h test on washed residue samples. Experimental data were evaluated by geochemical modelling to identify potential solubility controlling minerals. For some elements (Al, Ca, Mg, Si, S, Mo, Zn, Cd, and Cu) the same controlling minerals were suggested regardless of the equilibration period or untreated/washed character of the tested material, whereas leaching of other elements (Ba, Sr) was far better described by considering a longer equilibration time, thereby pointing out the kinetic effects. Finally, a significant fraction of total lead (57%) was found to be rather mobile in the initial stage of leaching. Both pre-washing of the residues and longer equilibration times were shown to be simple yet useful methods to identify mineral phases that could control the release of constituents after the removal of readily soluble compounds in the initial stage of leaching. 相似文献

The objective of this paper is to identify the factors determining the reporting frequency of experience data e.g. incidents and accidents. The empirical setting is the Norwegian controlled merchant fleet. Data were collected from a survey carried out in 2006, where 1262 questionnaires were gathered from 76 vessels. The data were subjected to explorative factor analysis, method of principal component and varimax rotation. Seven factors, representing latent dimensions of safety culture, were extracted. Internal consistency (Cronbach Alpha) and scale reliability were found to be acceptable. The factor scores were used in an ordered logistic regression to examine the factors’ relationships to reporting frequency. The results show that enhanced safety related training, a trusting and open relationship among the crew, safety oriented ship management, performance of pro-active risk identification activities and feedback on reported events all are significantly related to higher reporting frequency. On the other hand, demand for efficiency and lack of attention to safety from shore personnel, are significantly related to lower reporting frequency. The results also show a significantly lower reporting frequency among those who have worked with their local manager less than 1 year. Bulk and dry cargo vessels also show significantly lower reporting frequency than those working on liquid bulk carriers. 相似文献

2020年12月在深圳市城市区域典型生境特征溪流——城市山区源头溪流金龟河、国家地质公园保护区入海溪流杨梅坑河与黑臭水体治理后溪流石溪河,开展底栖动物多样性与生境质量状况取样,通过多元统计分析探明各溪流底栖动物群落结构差异及其主要环境影响因子.结果表明:(1)金龟河底质异质性(SI)最高;杨梅坑河水质最好且流态异质性(Fr)最优,石溪河水质最差且底质异质性(Fr)最低.(2)共采集鉴定大型底栖动物118个分类单元,隶属于3门6纲14目87科.水生昆虫均占绝对优势,其中金龟河67属(81.7%),杨梅坑河62属(95.4%),石溪河12属(52.2%).金龟河中底栖动物Shannon-Wiener多样性指数、改进的Shannon-Wiener多样性指数、Pielou均匀度均高于杨梅坑河与石溪河.(3)金龟河的主要功能摄食类群是滤食者(45.5%),杨梅坑河(38.3%)与石溪河(58.7%)的主要功能摄食类群均为收集者.(4)冗余分析(RDA)结果显示,氨氮、海拔、湿宽、水温、溶氧、底质异质性(SI)、电导率和流态异质性(Fr)为影响深圳市溪流的大型底栖动物群落结构的主要环境因子.研究表明:(1)深圳市的山区溪流可作为深圳市生物多样性保护的重点区域.(2)在城市溪流生态系统中,水环境化学因子并非为主要影响因子,生境多样性发挥了重要作用.(图6表3参43) 相似文献
